These Terms and Conditions (“Terms”) govern your access to and use of the websites, software platforms, services, tools, content, communications, and related offerings provided by TNT Org Solutions, Inc. (“TNT,” “Company,” “we,” “us,” or “our”) (collectively, the “Services”). By accessing, registering for, or using the Services, you agree to be legally bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

ELIGIBILITY AND AUTHORITY

By using the Services, you represent and warrant that you are at least eighteen (18) years of age and that you have the legal authority to enter into this agreement on your own behalf or on behalf of the entity you represent. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind such entity to these Terms.

SERVICES

TNT provides consulting services, software implementation, automation systems, digital communications tools, marketing infrastructure support, and related business services. We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice. We do not guarantee that the Services will be uninterrupted, error-free, or available at all times.

ACCOUNT REGISTRATION AND SECURITY

Certain features of the Services may require account registration. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. Tinder shall not be liable for any loss or damage resulting from your failure to safeguard your account credentials.

ACCEPTABLE USE

You agree not to use the Services for any unlawful purpose or in any manner that violates applicable laws or regulations. You may not use the Services to transmit spam, unsolicited messages, fraudulent communications, abusive content, deceptive marketing, or any content that infringes upon the intellectual property or privacy rights of others. You may not interfere with or disrupt the integrity or performance of the Services or attempt to gain unauthorized access to any systems or networks connected to the Services.

CLIENT CONTENT AND DATA

You retain ownership of all content, data, and materials you submit, upload, or transmit through the Services (“Client Content”). You grant TNT a non-exclusive, worldwide, royalty-free license to use, host, process, transmit, and display Client Content solely as necessary to provide the Services. You represent and warrant that you have all rights necessary to submit such Client Content and that it does not violate any applicable law or third-party rights.

INTELLECTUAL PROPERTY

All software, systems, designs, frameworks, documentation, trademarks, service marks, logos, and proprietary materials used in connection with the Services are owned by TNT or its licensors and are protected by intellectual property laws. These Terms do not grant you any ownership interest in the Services or any intellectual property rights except for the limited right to use the Services in accordance with these Terms.

FEES, PAYMENTS, AND REFUNDS

Certain Services require the payment of fees. All fees are due in advance unless otherwise agreed in writing. You authorize TNT to charge your designated payment method for all applicable charges. All fees are non-refundable unless otherwise expressly stated in a written agreement. We reserve the right to change pricing at any time upon notice.

SMS, EMAIL, AND COMMUNICATIONS CONSENT

By providing your contact information, including your mobile phone number and email address, you consent to receive communications from TNT related to your account, services, updates, and promotional materials. Message and data rates may apply for SMS communications. You may opt out of promotional communications at any time by following the unsubscribe or opt-out instructions provided in the communication. Transactional and service-related messages may continue as required to operate your account.

THIRD-PARTY SERVICES AND INTEGRATIONS

The Services may integrate with or provide access to third-party platforms, tools, and services. TNT does not control and is not responsible for the content, security, or practices of any third-party services. Your use of third-party services is subject to their respective terms and policies.

CONFIDENTIALITY

Each party agrees to maintain the confidentiality of any non-public, proprietary, or confidential information received from the other party in connection with the Services. Confidential information shall not be disclosed to any third party except as required by law or as necessary to perform the Services.

DISCLAIMER OF WARRANTIES

The Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory. TNT disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Services will meet your requirements, be uninterrupted, secure, or error-free.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, TNT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of or inability to use the Services, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or related to the Services shall not exceed the amount paid by you to TNT in the twelve (12) months preceding the claim.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless TNT and its officers, directors, employees, contractors, and agents from and against any claims, damages, liabilities, losses, costs, and expenses arising out of or related to your use of the Services, your Client Content, your violation of these Terms, or your violation of any law or third-party rights.

TERM AND TERMINATION

These Terms remain in effect while you use the Services. We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to TNT or other users. Upon termination, all outstanding fees become immediately due, and your right to use the Services will cease.

GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which TNT is principally operated, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Services shall be resolved exclusively in the courts located within such jurisdiction.

CHANGES TO THESE TERMS

We reserve the right to modify these Terms at any time. We will update the “Last Updated” date at the top of this page when changes are made. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.
